Terms of service

These terms govern the services provided by Webseller OÜ, an Estonian private limited company (registry code 14135910), to its business customers.

The service

Webseller provides marketing software and services, including the management of advertising campaigns on platforms such as Google Ads and Meta on the customer's behalf. The scope, price and duration of any engagement are agreed separately in writing with each customer.

Authorisation

Where the service manages a customer's advertising account, the customer grants access themselves, through the platform's own consent flow or a manager account link, and may withdraw it at any time. Webseller acts on the customer's instruction and within the permissions granted. The customer remains the owner of their advertising account and of the data in it.

Customer responsibilities

• Providing accurate information and holding the rights to any material supplied for use in advertising.
• Complying with the advertising policies of the platforms used, and with applicable advertising, consumer and data protection law.
• Paying media spend, which is billed by the advertising platform directly to the customer unless agreed otherwise.

Acceptable use

The service may not be used for unlawful content, for advertising that infringes third party rights, or in any way that breaches the terms of the underlying advertising platforms. We may suspend a service that is being used in such a way, after notice where circumstances allow.

Availability and liability

We provide the service with reasonable skill and care, but we do not guarantee uninterrupted availability, nor any particular advertising result, since results depend on factors outside our control including platform behaviour, competition and the customer's own products and pricing. To the extent permitted by law, our total liability under an engagement is limited to the fees paid by the customer for that service in the three months preceding the event giving rise to the claim. Nothing in these terms excludes liability for intent or gross negligence.

Confidentiality

Each party keeps the other's non-public information confidential and uses it only to perform the engagement.

Term and termination

Either party may end an engagement in line with the notice period agreed in writing. On termination we stop processing, and access to the customer's advertising accounts is withdrawn. Data handling after termination follows our privacy policy.

Governing law

These terms are governed by Estonian law. Disputes that cannot be settled by negotiation are heard by Harju County Court in Tallinn.
